Formation, contracts, and growth

Legal support for your
U.S. operations.

An Israeli company entering or growing in the United States faces connected decisions about structure, contracts, intellectual property, and its team. The priorities differ for a founder setting up a first U.S. entity and an established company expanding its customer base.

We work with Israeli entrepreneurs, startups, and technology businesses on U.S. matters, including operations in the New York City area. Our focus is the company’s U.S. business. We do not practice in Israel or provide Israeli-law advice.

U.S. entity formation and maintenance

Selecting and establishing an appropriate U.S. entity, preparing governing documents, and addressing ongoing corporate matters as the business develops.

U.S. intellectual property

Trademark and copyright matters, ownership, and commercial use of IP supporting the U.S. business. Brand clearance and application planning can be important before a U.S. launch.

Technology and commercial agreements

Technology transactions, licensing, distribution, manufacturing, and OEM agreements for U.S. operations. We help review and negotiate the terms supporting customer, vendor, and channel relationships.

Joint ventures and strategic alliances

U.S. business arrangements with commercial partners, including the allocation of responsibilities, control, ownership, and economic terms.

Reorganizations

U.S. corporate work associated with changes in structure or ownership. The transaction scope should identify matters requiring separate tax or other specialist advice.

Employment and equity compensation

U.S. employment and equity arrangements connected to building the company’s team, considered alongside its corporate documents and business objectives.

A U.S. entity built around your plans

Delaware incorporation for
Israeli companies.

We help Israeli companies and founders form Delaware corporations for their U.S. operations. The work starts with the proposed ownership and business plan, including whether the U.S. entity will be owned by founders or an existing Israeli parent company.

Our formation work can include the certificate of incorporation, bylaws, initial corporate approvals, and documents reflecting the agreed ownership structure. We also help identify registered-agent arrangements and ongoing corporate maintenance needs.

Delaware should be considered alongside the company’s financing plans, operating locations, and tax advice. Incorporating there does not by itself address every requirement for doing business in other states. Additional registrations, licenses, or filings may be needed where the company operates.

Where the structure raises Israeli-law or cross-border tax questions, those matters require the appropriate advisers. Our role remains the U.S. legal work within the agreed engagement.

A relationship centered on your U.S. business

Business perspective for
Israeli founders and teams.

Our existing work with Israeli clients informs how we approach U.S. business needs. We advise entrepreneurs and companies at different stages, including technology businesses moving from formation toward initial funding and established companies developing U.S. relationships.

Software and other technology companies often need several pieces of legal work to move together: a customer agreement, ownership of the product, a U.S. hiring arrangement, and the entity entering those commitments. We consider those connections when defining the engagement.

We offer a direct point of contact for the U.S. work within the agreed scope. Matters involving Israeli law remain for appropriately qualified Israeli counsel.

A useful starting point

Where is your company
in its U.S. plans?

Preparing to enter the U.S.

Discuss the planned entity, owners, product, initial customers, hiring plans, and launch timing. Early planning can identify the corporate, contract, and IP documents needed for the next step.

Already operating in the U.S.

Bring the specific agreement, expansion, ownership, or brand-protection question into focus. Existing entities and contracts may need review as the business changes.

Before you get started

Questions we hear.

Can you help our Israeli company incorporate in Delaware?

Yes. We assist with Delaware incorporation and the related U.S. corporate documents. We first consider the intended owners, U.S. operations, and business objectives, with separate advice for tax and Israeli-law questions where needed.

Do you advise on Israeli law?

No. Our work is focused on U.S. legal matters for Israeli businesses and founders. We do not practice in Israel or provide Israeli-law advice.

Do you work with companies that already have U.S. operations?

Yes. The page is intended for both companies establishing U.S. operations and businesses with an existing U.S. presence that need contracts, corporate, IP, or ongoing legal support.

Can you help with U.S. trademark applications?

Yes. Our trademark practice includes searches, applications, and ongoing brand protection. We can discuss the mark, intended goods or services, ownership, and U.S. launch plans.
